Morgan Stanley Wealth Management Contracts Attorney in Alpharetta, Georgia
Morgan Stanley is seeking an attorney to provide advice and counsel on a wide range of business-to-business commercial matters for its industry-leading share plan administration business. This position will report directly to the Managing Director responsible for overall legal oversight of Morgan Stanley at Work.
Responsibilities:
Specific areas of responsibility include, among others:
Work with cross-functional teams to review, draft, and negotiate a variety of commercial agreements, including technology, financial reporting, brokerage, licensing, consulting, confidentiality, and other financial services business agreements
Work collaboratively with colleagues in the Legal and Compliance Division and Risk Department responsible for Morgan Stanley's broker-dealer and bank entities to ensure that all necessary support, issue spotting, and advice and counsel are made available to the share plan business
Provide practical legal counsel and develop and present creative solutions to internal business issues by assessing potential risks, benefits, and consequences of decisions, with the goal of supporting the achievement of business objectives while effectively managing legal and practical business considerations
Efficiently manage a large volume and variety of agreements with competing deadlines and priorities, from simple amendments to complex agreements
Interface directly with various internal business units, including Technology, Information Security, Product, Operations, Sales and Service, and Finance
Represent the share plan business in negotiations and escalations with legal and non-legal representatives from a variety of private and public companies
Review marketing, communications, and educational materials
Requirements:
Undergraduate degree from a 4-year institution
J.D. from a highly respected law school, with superior academic credentials
Member in good standing of a state bar
At least seven years of legal experience, including prior experience with a top-ranked law firm in a corporate practice group involving contract negotiation and drafting
Highly developed written and oral communication skills, with special emphasis on excellent drafting, negotiation skills, and attention to detail
Strong interpersonal skills to foster teamwork, influence decision-making, and maintain effective working relationships with internal colleagues and external clients
Ability to identify issues and suggest enhancements to form agreements, policies, procedures, and processes
Ability to prioritize multiple tasks with competing deadlines
Ability to work independently as well as part of a team
Preferred:
Representation of or in-house experience with a financial services company or SAAS technology offerings
Experience with legal issues associated with hosted platforms and B2B business products and services
Working knowledge of, or ability to quickly learn, public company reporting, financial accounting concepts, tax concepts, equity compensation administration, and retail/online brokerage
Prior project leadership experience
Following first 6 months of in office employment in good standing, role will require in office attendance 3 days/week

Expected base pay rates for the role will be between $110,000.00 and $190,000.00 at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
